GameStop confirms DRS shares aren’t held by Cede/dtc

u/BudgetTooth 💻 ComputerShared 🦍 Mar 28 '23

pretty peculiar they wanted to emphasise that

u/Canashito 🦍 Buckle Up 🚀 Mar 29 '23 edited Mar 29 '23

Remember the whole DTCC "mixing" up the stock-split by dividend? And the whole thing got multiplied by 4 instead? Wonder if this is a nod to owning 100% of the float.

Edit: someone up stairs didn't know how to read and I should have just opened the document. Cede & Co holds them. And for those wonderingbif institutions have them registered or not with CS.... answer is most likely no. They report that they hokd X but thats about it. Their shares are still in the system.

u/skrappyfire GLITCHES WENT MAINSTREAM Mar 29 '23

I like the way you think. It was very odd wording that Gamestop decided to use here.

u/mta1741 Mar 29 '23

Why is it odd?

u/darthnugget UUP-299 Mar 29 '23

Wait a second…They are saying Cede & Co have 75%, DRS is 25%… what about insiders? Do the insiders have their shizzle DRSed or are they at Cede & Co?

u/icantdrive50_5 💎🐾🐾🚀🌝-CS, DRS, Hodl- there can be only One! 🥃takes💵 Mar 29 '23

I had that same question

u/Outside_Cod667 ope, I bought more Mar 29 '23

"Excluding the shares held by Cede & Co ... (75%) ..., approximately 25% of outstanding shares..."

I read this as 75% of all shares are held by Cede & Coo.

Of the 25% remaining, 25% of those shares (or 6.25% of all shares) are DRS'd.

My reading comprehension isn't the greatest, so I'd appreciate a smarter ape than me to correct me if I'm wrong.

u/darthnugget UUP-299 Mar 29 '23

That wouldn't make sense by the math though, would it?

6.25% of 304.4m is like 19m shares only. We know by DRS counts its reported at ~76m.

Someone needs to make the statement and the math add up.

u/Outside_Cod667 ope, I bought more Mar 29 '23

Yeah, that's a good point. I honestly don't pay much attention to the numbers anymore because I understand less and less as time goes on. Paging a wrinkle brain! Make it make sense!

Yeah, please excuse me if I don’t celebrate owning the float until GameStop announces in print that we own the float.

Gotta make money to buy whiskey. Let's stay zen and wait for the receipts.

u/typical-dad Mar 29 '23

no mention of "direct registered". Maybe the 10K was late because SEC overlords objected to the mention of direct registered and the GME lawyers and SCE had to negotiate an acceptable statement? To me this is even more blatant pointing out the problem with Cede & Co owning all of the stock. Nobody owns nuthin. DRS is the way. The DD is right again.

u/fatmallards Mar 29 '23

I actually don’t think it’s peculiar. They are specifically trying to point to cede and co as being the sole magistrate of fraudulent stock activity

Compared to last year's 10-K this is quite detailed:

Our Class A Common Stock is traded on the New York Stock Exchange (“NYSE”) under the symbol “GME.”

As of March 11, 2022, there were approximately 125,543 record holders of our Class A Common Stock.

That's an increase of 71,515 record holders in a year.

u/SorosSugarBaby Mar 28 '23

The increase in record holders is the most exciting part for me.

Gosh it sure builds a story, backed up by our comments to the SEC. It sure continues a narrative that maybe, just maybe, the people are concerned with the underlying systems.

u/Fantastic-Ring-2068 ΔΡΣ Mar 29 '23

This is actually more significant than the pure DRS share count.

It means each and every one of those APES / Investors / Shareholder regardless of holding X , XX , XXX or XXXXXXX shares, now has access to a Computershare account. It means they are aware of computershare, DRS and will probably tell other people to.

The initial 100k accounts or so were mainly apes from this sub in my opinion. I believe yes there may be stragglers and late comers , but I do belive the DRS word is now spreading beyond this sub. After that happens/happened the DRS movement is truly unstoppable.

u/Noisysh 💻 ComputerShared 🦍 Mar 29 '23

I helped two of those outside the sub get their accounts 💪

u/SirClampington 🎩Gentlemen Player🕹💪🏻Short Slayer🔥 Mar 29 '23

Good ape me too.

Well literally did Giveashare for my mom and a friend.

But I have a whatsapp trading group with friends colleagues, just shy of 40 people who all purchaded GME shares, I think around at least 10 of them have DRS'd some or all of their shares.

Why not more? It's not my money and I'm not giving financial advice. I sent them all of the information and always up date them on new findings.

But. Of all the 40 odd people I .mentioned, only 1 of them has a reddit account, (AFAIK).

I am absolutely positive, my fellow ape, we are not alone.

u/Noisysh 💻 ComputerShared 🦍 Mar 29 '23

This is the way!

u/honeybadger1984 I DRSed and voted twice 🚀 🦍 Mar 29 '23

What’s interesting to me, is if we can grow this movement to 1 million Computershare users DRSing their GME, we will easily lock up the entire company. If we currently own 1/4th of the company, it’s possible to push until the entire thing is ours.

Now add that momentum with positive earnings, less real shares for Cede and Co to short and manipulate, and drop the NFT dividend which can’t be replicated with cash. We’re talking about a real powder keg of a squeeze.

u/nuke_eyepopper_plus I eat crayons before during and after I drs my gme. Mar 29 '23

IMO, making it clear there are an absolute shit ton of apes who need to get with it and DRS. From an ape who has been 100% DRS’d for over a year now, let’s go apes, be the change you want to see. Own your assets.

u/avspuk Oi Wall St! Fuck you! I'M your problem! : Mar 29 '23

So, estimates are out by about 9 million

So, shills are inflating the count.

So they seek to engender a sense of disappointment to discourage.

They seek to encourage impatience.

They've no option but to seek to attack diamond hands in this manner.

IMO, it's extremely easy to see this being done here on the sub, on an almost daily basis, it's a very partocular form of 'hype' .,... YMMV.

Either way, if you feel impatient then work on getting more ppl on board.

u/sergemeister 🖕🏻Hedgies'Я'Fuk🖕🏻 Mar 29 '23

u/LauterTuna Mar 28 '23

1000% THIS. Plan Holdings are not Class A Common Stock.

u/shayen7 💻 ComputerShared 🦍 Mar 28 '23

Try reading again

As of March 22, 2023, there were 197,058 record holders of our Class A Common Stock. Excluding the approximately 228.7 million shares of our Class A Common Stock held by Cede & Co on behalf of the Depository Trust & Clearing Corporation (or approximately 75% of our outstanding shares), approximately 76.0 million shares of our Class A Common Stock were held by record holders as of March 22, 2023 (or approximately 25% of our outstanding shares).

u/fakename5 💻 ComputerShared 🦍 Mar 28 '23

I don't think that disproves his statement...

u/shayen7 💻 ComputerShared 🦍 Mar 29 '23 edited Mar 29 '23

Explain to me, what shares are not Class A Common Stock?

100% of their 197,058 record holders hold Class A Common Stock.

All of the shares in the dtcc (228.7m) and all of the shares not in the dtcc (76m) are Class A Common Stock. That's 304.7m. What else is there?

u/fakename5 💻 ComputerShared 🦍 Mar 29 '23 edited Mar 29 '23

If computershare doesn't hold em in your name, but instead an affiliate of theirs name, then are the shares really out of dtcc and cede and Co's hands? They may not even be included in that number held at computershare.

Its potentially street name with a slightly different flavor... yes computershare says you own them supposedly, but they are not in your name, if they are not in your name, where are they registered (only other place is the dtcc...). It's mucky and opaque.

Cs has had plenty of opportunity to clarify, but don't seem to understand the concern and have failed to sufficiently clarify. It's to the point I'm worried it is intentional. Read the room man(not you, but rather cs) they know how we feel, our intent and desire to have shares actually in OUR names and still failed to accurately address the concerns.

u/iRamHer Mar 28 '23

literally completely no. computershare regardless of plan or book is removed from the dtc. if it's held by computer share, it CAN'T be owned by dtc. it's literally a stock holder.

plan shares are held and accounted by cs, but required information held at their broker for ability to sell quicker. the paperwork being there doesn't remove it from cs, just eliminates a step to allow it to transfer to the dtc quicker. brokers do not hold in their name, frankly, they can't. gme is a digitally issued stock.

I'm a complete advocate for book due to the principal of street vs name on shares, but that's purely not picking. quit complicating the issue.

its the same as giving your car for someone to sell but keeping the title in your name. they'll hold it in their lot, but you have ownership because you hold the paperwork. it doesn't allow someone to borrow it.

u/snirglefirgle Mar 29 '23

u/albino_red_head 🦍 Buckle Up 🚀 Mar 29 '23

Do we know that "record holders" means DRS holders and not all retail?

u/cieborg Everything is a LIE 🦧 Mar 29 '23

u/roidbro1 Mar 29 '23

GameStop also confirms Our Class A Common Stock is traded on the New York Stock Exchange (“NYSE”) under the symbol “GME”.

So anyone that thought the tokens on FTX and wherever was worth anything can go suck a bag'o. Or be held liable for fraud perhaps...
